Protocol Therapeutics Terms of Service

1. Acceptance and Operator

These Terms of Service (the "Terms") govern access to and use of Protocol Therapeutics websites, physician-branded storefronts, customer accounts, checkout experiences, subscriptions, content, and related services (collectively, the "Services"), including purchases and subscriptions made through the Services. The Services are operated by Connective Group LLC, an Oklahoma limited liability company doing business as Protocol Therapeutics ("we," "us," or "our"), 1236 NW 5th Street, Oklahoma City, Oklahoma 73106.

By accessing the Services, creating an account, or placing an order, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services. Additional terms presented for a subscription, promotion, or specific feature are incorporated when accepted. If additional terms conflict with these Terms, the more specific terms govern that feature.

2. Important Medical and Product Notice

THE SERVICES AND THEIR EDUCATIONAL, PRODUCT, RESEARCH, AND QUALITY CONTENT ARE FOR GENERAL INFORMATION AND COMMERCE PURPOSES. THEY DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, PRESCRIBING, OR EMERGENCY SERVICES AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL CARE. ALWAYS CONSULT A QUALIFIED HEALTHCARE PROFESSIONAL ABOUT YOUR INDIVIDUAL NEEDS, CONDITIONS, MEDICATIONS, ALLERGIES, PREGNANCY, NURSING, SURGERY, OR ADVERSE REACTIONS.

If you believe you have a medical emergency, call emergency services. Stop using a product and seek appropriate medical attention if you experience an adverse reaction. Dietary supplements are not intended to diagnose, treat, cure, or prevent disease. Individual results vary, and a physician's selection or discussion of a product is not a guarantee of safety, suitability, or results.

3. Physician Relationship and Merchant of Record

You may reach a storefront through a participating physician's link or QR code. The physician is an independent healthcare professional and is not employed, supervised, or controlled by Protocol Therapeutics. Protocol Therapeutics does not direct the physician's professional judgment or become a party to the physician-patient relationship.

Protocol Therapeutics is the merchant of record for purchases placed through the Services. Protocol Therapeutics collects payment, calculates applicable sales tax, accepts or rejects orders, fulfills accepted orders, administers subscriptions, and provides ecommerce customer support. Participating physicians may select products, configure permitted retail prices, and receive compensation based on eligible purchases. The order-completion sequence will disclose: “Protocol Therapeutics has been selected by your physician or medical practice as a nutritional supplement provider. Your physician or medical practice may receive compensation in connection with products purchased through this storefront.”

4. Eligibility and Geographic Limits

You must be at least 18 years old and legally capable of entering a contract to create an account or place an order. Orders may be delivered only to valid addresses in the 50 states and the District of Columbia. Delivery to U.S. territories and international destinations is not supported. You may not use the Services for export or from a jurisdiction where use would violate law.

5. Accounts and Security

You must provide accurate, current information and safeguard account and payment credentials. You are responsible for activity conducted through your account until you notify us of suspected unauthorized access. Do not share credentials, impersonate another person, create an account without permission, or use another person's payment method without authorization.

We may require verification, reject a registration, limit features, merge duplicate accounts, reset credentials, or suspend access to protect you, other users, participating physicians, or the Services. Contact support@protocoltherapeutics.com or 405-768-1228 promptly about suspected misuse.

6. Products and Information

We attempt to present accurate product descriptions, images, ingredients, Supplement Facts, availability, and pricing, but displays may contain errors or differ from packaging. Always read the physical label before use. Packaging and formulations may change. If online information conflicts with the product label, stop and contact us before use.

Product availability is not guaranteed. We may change or discontinue products, impose quantity limits, restrict resale, refuse suspicious orders, and correct obvious errors. Inclusion in a storefront does not establish that a product is appropriate for every person.

7. Prices, Orders, and Payment

Prices may vary by participating storefront because physicians may configure retail prices within Program rules. The price shown when you submit an order applies, excluding an obvious error. Prices are in U.S. dollars and exclude tax and shipping unless stated. Discounts may have separate eligibility, expiration, and stacking rules.

Your order is an offer to purchase. We may accept, reject, cancel, or limit an order for inventory, pricing error, suspected fraud, payment failure, legal restriction, quantity limit, address issue, product safety, or other legitimate reason. An automated acknowledgment is not final acceptance. We may authorize your payment method when the order is submitted and charge it when permitted by our checkout process.

You represent that you are authorized to use the selected payment method and authorize Protocol Therapeutics and its payment providers to charge all displayed amounts. Your card statement may display a Shopify-related descriptor associated with payment processing. Checkout, invoices, packaging, and customer communications will identify Protocol Therapeutics. You are responsible for accurate shipping information and charges caused by an incorrect address to the extent permitted by law.

To request cancellation, Protocol Therapeutics must receive your request at support@protocoltherapeutics.com before 11:00 a.m. Central Time on a working day, excluding holidays. This is the daily fulfillment cutoff. Requests received at or after the cutoff, or on a non-working day or holiday, may not be processed before shipment. Cancellation is not guaranteed and is effective only when Protocol Therapeutics confirms it. After shipment, an order cannot be changed or cancelled, but you may refuse delivery or request an eligible return. For a refused shipment, Protocol Therapeutics will issue an approved refund within seven business days after receiving the returned shipment. If Protocol Therapeutics cancels an order after payment, Protocol Therapeutics will refund the affected amount to the original payment method.

Protocol Therapeutics may correct an obvious pricing, description, discount, tax, shipping, or inventory error and may cancel the affected order and issue a refund. If practical, Protocol Therapeutics may invite you to reorder at the correct price. Product availability and storefront assortment may change without notice, and Protocol Therapeutics may impose reasonable quantity limits.

8. Shipping, Delivery, Returns, and Refunds

Available shipping methods, charges, and estimated delivery windows appear at checkout. Delivery estimates are not guarantees and may be affected by inventory, carrier delays, weather, address issues, holidays, or events outside reasonable control. Orders ship only to supported United States addresses; international delivery and export are prohibited. Title and risk of loss pass as provided by applicable law and the stated shipping terms.

You must provide a complete, accurate address and promptly review shipment notices. Report damaged, defective, incorrect, expired, lost, or missing shipments within 15 days after receipt. If an order is not delivered and carrier or other reasonable evidence supports non-delivery, report it within 30 days after the expected delivery date. Protocol Therapeutics may require a carrier investigation, identity verification, or other reasonable evidence for repeated or high-value claims.

Unopened and unused products in their original packaging may be returned within 15 days after delivery after you obtain return authorization. Opened ingestible products are not returnable except when damaged or when return or replacement is required by law. Do not mail a product before receiving return instructions.

A return must include the authorization, original packaging, and reasonably requested order information. Protocol Therapeutics may refuse a return involving tampering, abuse, unauthorized resale, missing lot or expiration information, improper storage, fraud, or a product-integrity or safety concern.

Return shipping may be deducted from the refund unless the return results from Protocol Therapeutics's error, transit damage, defect, recall, or applicable law. Original shipping charges are nonrefundable except where required by law or when Protocol Therapeutics caused the return.

For damaged, defective, incorrect, or expired product, contact support within 15 days after delivery. Provide the order number, product name, lot number, expiration date, photos, and a description, and retain the product and packaging until instructed otherwise. After review, Protocol Therapeutics may replace the product, issue a refund or credit, provide a return label, or request additional information. Nothing in these Terms limits a nonwaivable warranty, recall obligation, or product-safety remedy.

Approved refunds are issued to the original payment method unless law requires otherwise. Protocol Therapeutics will initiate an approved refund within seven business days after approval or receipt and inspection of a required return, including a refused shipment. Your financial institution may require additional time to post the credit. Refunds reflect the eligible product amount and applicable tax; discounts and credits are allocated proportionally. Protocol Therapeutics may refuse abusive, fraudulent, duplicate, or unsupported claims to the extent permitted by law.

9. Subscriptions and Automatic Renewal

Before enrollment, checkout will display the product, quantity, recurring price or pricing method, discount, shipping, tax treatment, frequency, renewal nature, cancellation method, and other material terms. Enrollment requires affirmative consent, and a confirmation will be sent after enrollment. By enrolling, you authorize recurring orders and charges on the disclosed terms until cancellation.

We will send a renewal notice approximately three days before each scheduled subscription renewal, with a link to manage the subscription. Subscription changes, skips, pauses, and cancellations must be completed before the next renewal is processed. A change made after processing applies to the following cycle and does not stop an order already submitted for fulfillment.

You may log in to your customer account to change available subscription settings, including quantity, frequency, skip, pause, payment information, or cancellation. Cancellation ends future recurring orders and charges but does not retroactively refund a processed order. A processed order remains subject to the return provisions in these Terms.

Subscription frequencies and physician-selected discounts available to you will be disclosed when you enroll and in your account. Each renewal will be charged using the participating physician’s current selling price for the product at the time the renewal is processed, together with any subscription discount then in effect, plus applicable tax and shipping. Your initial or prior purchase price is not guaranteed for future renewals. Protocol Therapeutics may prospectively change subscription prices, discounts, frequencies, or availability after notice required by law. Changes do not affect an order already processed except as disclosed and permitted by law.

If a subscription payment fails, Protocol Therapeutics or its provider may notify you by email and, when authorized, SMS and retry the payment on the failure date and approximately one, three, five, and seven days afterward. If the final attempt fails, the subscription may be cancelled. Protocol Therapeutics may also pause or cancel a subscription for suspected fraud, product discontinuation, recall, or legal restriction. Keep your email, telephone number, and payment information current.

10. Referral Attribution

The Services associate your purchases and subscriptions with a participating physician or practice for storefront configuration, reporting, and compensation calculation. The association continues unless you or the physician asks Protocol Therapeutics support to change it. A requested change applies when processed by support and may affect future purchases and subscription renewals; it does not alter completed transactions. Attribution does not transfer ownership of your account to a physician or permit a physician to access payment-card details.

11. Customer Support and Product Concerns

Protocol Therapeutics provides ecommerce support at support@protocoltherapeutics.com and 405-768-1228. Participating physicians do not control order fulfillment, returns, refunds, subscriptions, or shipping. For medical questions, contact an appropriate healthcare professional rather than customer support.

Report suspected product tampering, damage, counterfeit product, incorrect labeling, recall concerns, or adverse events promptly and retain the product, packaging, lot number, receipt, and related records. We may request information needed to investigate and meet safety or regulatory obligations.

Protocol Therapeutics may notify affected customers and participating physicians of a recall, safety correction, or other product action using available contact and order records. Follow all instructions concerning discontinuation, return, disposal, refund, or replacement. Report an adverse event or serious product complaint immediately to support@protocoltherapeutics.com or 405-768-1228, but use emergency services for urgent medical needs. Protocol Therapeutics may share reports with manufacturers, insurers, regulators, healthcare professionals, and service providers as reasonably necessary for safety and legal compliance.

Protocol Therapeutics may send operational and transactional email and SMS messages concerning accounts, orders, subscriptions, shipments, payment failures, security, support, recalls, and material service changes. Text messages will be sent only when permitted by law and subject to any consent or election required for the message. Message and data rates may apply. If marketing messages are introduced, Protocol Therapeutics will provide any separate consent and opt-out process required by law.

12. Ownership and Limited License

The Services and their software, designs, text, images, research-library presentation, product content, trademarks, logos, data compilations, and other materials are owned by Protocol Therapeutics or its licensors and protected by law. Subject to these Terms, we grant you a limited, personal, revocable, nonexclusive, nontransferable license to access the Services for lawful personal use.

You may not reproduce, republish, sell, sublicense, scrape, data mine, reverse engineer, frame, mirror, remove notices from, create derivative works from, or commercially exploit the Services except with written permission or as nonwaivable law allows.

13. User Submissions and Feedback

If you send support messages, reviews, photos, suggestions, or other content, you represent that you have the right to do so and that it is accurate, lawful, noninfringing, and does not contain another person's confidential or clinical information without authorization. Do not submit medical records, diagnoses, laboratory results, treatment plans, or other sensitive clinical information through general support or review features.

You grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, format, and use submissions as reasonably necessary to provide support, operate the Services, respond to you, enforce these Terms, and comply with law. Feedback and suggestions may be used without restriction or compensation. We will not use a review in advertising in a manner inconsistent with applicable consent and endorsement rules.

14. Prohibited Use

You may not use the Services unlawfully or fraudulently; interfere with security or operation; introduce malicious code; access another account; scrape or automate access; test vulnerabilities without permission; purchase for unauthorized marketplace resale or export; evade quantity or geographic limits; submit false information; harass others; infringe rights; or use content to train or operate a competing product database without written authorization.

15. Third-Party Services

The Services use third parties such as Shopify and Shopify Payments, subscription and tax services, Extensiv and fulfillment providers, USPS and FedEx, Brevo for operational email and SMS, ACH payout providers, and internal analytics providers. Their services may be subject to separate terms and privacy notices. We are not responsible for a third-party site or service that we do not control, but this provision does not limit obligations imposed on us by law.

16. Privacy

Our Privacy Policy explains how we collect, use, retain, and disclose personal information. By using the Services, you acknowledge that policy. Privacy-policy acknowledgment is not consent where law requires separate consent. Please review any just-in-time notice or choice presented for a specific data practice.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RESULTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT A PRODUCT WILL BE SUITABLE FOR YOU.

THIS DISCLAIMER DOES NOT EXCLUDE AN EXPRESS PRODUCT WARRANTY WE PROVIDE IN WRITING OR A WARRANTY, REMEDY, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTOCOL THERAPEUTICS AND ITS AFFILIATES, PERSONNEL, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LOST DATA, PROFITS, REPUTATION, OR OPPORTUNITY ARISING FROM THE SERVICES OR THESE TERMS. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO PROTOCOL THERAPEUTICS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED, INCLUDING RIGHTS OR REMEDIES AVAILABLE UNDER APPLICABLE PRODUCT-LIABILITY, PERSONAL-INJURY, FRAUD, OR CONSUMER-PROTECTION LAW. Some jurisdictions do not permit certain limitations, so they apply only to the extent lawful.

19. Indemnification

To the extent permitted by law, you will indemnify Protocol Therapeutics and its affiliates and personnel against third-party claims and reasonable costs arising from your unlawful misuse of the Services, infringement of another person's rights, unauthorized commercial resale or export, fraudulent activity, or material breach of these Terms. This provision does not require a consumer to indemnify us for our own negligence, unlawful conduct, or product responsibility where prohibited by law.

20. Suspension and Termination

We may restrict or terminate access, cancel an account, or refuse an order for violation of these Terms, fraud, security risk, abuse, legal requirements, or discontinuation of the Services. Where practical, we will provide notice. You may stop using the Services and may request account closure subject to legal retention requirements. Subscription cancellation is separate and must be completed using the available cancellation method.

21. Informal Dispute Resolution

Before filing a claim, you and Protocol Therapeutics agree to send a written notice describing the dispute and requested relief to support@protocoltherapeutics.com and Protocol Therapeutics, 1236 NW 5th Street, Oklahoma City, Oklahoma 73106. The receiving party will have 30 days to attempt an informal resolution. This requirement does not prevent either party from seeking urgent relief, using an eligible small-claims process, or meeting a legal filing deadline.

22. Arbitration and Class-Action Waiver

Except for an eligible individual small-claims case, intellectual-property misuse, or a request for temporary injunctive relief, a dispute not resolved informally will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. Arbitration may occur by video, telephone, documents, or at a reasonably convenient location as the rules and law provide.

YOU AND PROTOCOL THERAPEUTICS WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION TO THE EXTENT PERMITTED BY LAW. The arbitrator may award individual relief available in court but may not combine claims without all parties' consent. Protocol Therapeutics will pay fees it is required to pay under the consumer rules.

You may opt out of arbitration by sending a signed notice to support@protocoltherapeutics.com or Protocol Therapeutics, 1236 NW 5th Street, Oklahoma City, Oklahoma 73106, within 30 days after first accepting these Terms. The notice must identify you and state that you opt out. Opting out does not affect other Terms.

23. Governing Law and Venue

Oklahoma law governs, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration provision. If a dispute is not subject to arbitration, exclusive venue will lie in the state or federal courts located in Oklahoma County, Oklahoma, unless applicable consumer law requires another forum.

24. Changes and General Terms

We may update these Terms prospectively. We will post the updated version and revise the Last Updated date and will provide additional notice or request renewed acceptance when required. Changes do not retroactively alter a dispute that arose before the change unless both parties agree.

These Terms and incorporated policies are the entire consumer agreement concerning the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with an affiliate reorganization, financing, merger, sale, or transfer of the Services. Headings are for convenience. Electronic communications and records satisfy writing requirements to the extent permitted by law.
